1. Definitions

In these Terms and Conditions:

• "Company", "We", "Us", "Our" refers to Sinergi Labs, registered in Malaysia, operating from 29 Jalan Ara, Bangsar, 59100 Kuala Lumpur.
• "User", "You" refers to any individual or organisation accessing our website or engaging our services.
• "Services" refers to the consulting and training offerings described on this website, including AI-Integrated Training Platform Design, Time-Series Forecasting Workshop, and AI Vendor Evaluation Advisory.
• "Agreement" refers to these Terms and Conditions together with any service proposal or engagement letter accepted by the User.
• "Content" refers to all materials, reports, frameworks, and documentation produced by Sinergi Labs as part of a service engagement.

2. Acceptance of Terms

By accessing this website or engaging our services, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• If acting on behalf of an organisation, you have authority to bind that organisation to these terms

3. Service Description

Sinergi Labs provides AI consulting and training services to Malaysian businesses and organisations. Our services are described in detail on our Solutions page and may be further specified in a written proposal or engagement letter provided to you prior to commencement.

We reserve the right to modify or discontinue services with reasonable notice. Service availability is subject to our capacity and scheduling at the time of enquiry.

4. User Responsibilities

You agree to:

• Provide accurate and complete information when submitting enquiries or entering into engagements
• Cooperate with our team reasonably during service delivery, including providing timely access to relevant information
• Use our website and any materials we provide for lawful purposes only
• Not attempt to disrupt, interfere with, or gain unauthorised access to our website or systems
• Treat our team with professional respect throughout any interaction

5. Intellectual Property

All content on this website — including text, design elements, and structural materials — is the property of Sinergi Labs and is protected under Malaysian intellectual property law.

Regarding service deliverables: unless otherwise agreed in writing, Sinergi Labs retains ownership of proprietary frameworks, methodologies, and reusable templates. You receive a non-exclusive, non-transferable licence to use deliverables produced specifically for your engagement, for internal business purposes only.

You may not reproduce, redistribute, or commercialise Sinergi Labs content without our prior written consent.

6. Payment Terms

Our service fees are stated on the Solutions page and in any written proposal. Unless otherwise agreed:

• A deposit of 50% is required before commencement of any service engagement
• The remaining balance is due upon completion of the engagement or at the milestone specified in the engagement letter
• All fees are quoted and payable in Malaysian Ringgit (RM)
• Invoices are payable within 14 days of issue
• Late payments may incur interest at 1.5% per month on outstanding amounts

Refund Policy: If you cancel an engagement before commencement, the deposit may be refunded at our discretion, less any preparation costs incurred. Once an engagement has commenced, fees for work completed are non-refundable.

7. Confidentiality

Both parties agree to maintain the confidentiality of information disclosed during a service engagement that is designated as confidential or that would reasonably be understood to be sensitive in nature. This obligation survives the conclusion of the engagement for a period of three years.

8. Disclaimers

Our services are provided in good faith based on information available at the time of engagement. However:

• We do not warrant that any AI-related recommendation will produce specific business outcomes — the AI landscape evolves, and real-world results depend on many factors outside our control
• This website is provided "as is" without warranties of uninterrupted availability or error-free operation
• Nothing in our communications constitutes legal, financial, or regulatory advice

9. Limitation of Liability

To the extent permitted by Malaysian law, Sinergi Labs' liability arising from any service engagement shall not exceed the total fees paid for that specific engagement. We shall not be liable for indirect, consequential, or loss-of-profit damages arising from the use of our services or website content.

10. Termination

Either party may terminate a service engagement with 14 days' written notice. In the event of termination:

• Fees for work completed up to the termination date remain payable
• Any confidential information must be returned or destroyed as requested
• Intellectual property clauses survive termination

11. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Malaysia. Any disputes shall first be addressed through good-faith discussion between the parties. If not resolved within 30 days, disputes may be referred to mediation under the auspices of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, before any formal legal proceedings.

The courts of Malaysia shall have exclusive jurisdiction over any unresolved disputes.

12. General Provisions

• Entire Agreement: These Terms and any engagement letter constitute the full agreement between parties for the services described.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce any term on one occasion does not constitute a waiver of that term.
• Assignment: You may not assign your rights under these Terms without our written consent.
• Notices: Formal notices should be sent by email to [email protected] or by post to our Bangsar address.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. If you continue to use our website or services after an update, you accept the revised terms. For active service engagements, material changes will be communicated directly to clients.
